Important: These Terms & Conditions govern all orders placed with Just Pallets Ltd. By placing an order, you confirm that you have read and agreed to these terms. Company registration number to be inserted on incorporation.

| Customer | Any person, firm, or company who places an Order with the Company. |
| Order | A request by the Customer for the Company to source and supply Pallets, confirmed in writing by the Company. |
| Pallets | Empty wooden pallets of the type and grade specified in the Order. |
| Price | The total price payable by the Customer for the Goods and/or Delivery, as set out in the Company's quotation. |
| Working Day | Any day other than Saturday, Sunday, or a public holiday in England and Wales. |
These Terms and Conditions apply to all Orders placed with the Company and supersede any terms proposed by the Customer. By placing an Order, the Customer accepts these Terms and Conditions in full.
All quotations are valid for 48 hours from issue unless otherwise stated, and are subject to availability. An Order is only accepted when the Company confirms it in writing (including by email). The Company acts as a broker and sources Pallets on a demand-led basis. The Company does not guarantee availability of any specific pallet type, grade, or quantity until an Order is confirmed.
The Customer is responsible for ensuring the specification of Pallets ordered is correct. The Company reserves the right to decline any Order at its sole discretion.
All prices are quoted exclusive of VAT unless otherwise stated. The Company reserves the right to adjust the Price if the Customer amends the Order after confirmation, or if there are material changes in supplier costs beyond the Company's reasonable control.
Unless otherwise agreed in writing:
A deposit of up to 50% may be required at Order confirmation. If payment is not made by the due date, the Company reserves the right to charge interest at 8% per annum above the Bank of England base rate, suspend outstanding Orders, and recover reasonable debt collection costs.
Delivery dates are estimates only and are not of the essence. The Customer must ensure a suitable person is available to receive Goods and that the delivery site has appropriate access. Risk in the Goods passes to the Customer upon Delivery. Title passes upon receipt of cleared payment in full.
If Delivery is attempted and the Customer is unable to accept the Goods, the Company reserves the right to charge for re-delivery at cost.

| Grade A — New / As New | New or as-new pallets. No damage, full specification. Suitable for food and pharmaceutical use where applicable. |
| Grade B — Good Used | Sound, serviceable pallets in good used condition. May show minor cosmetic marks but are structurally sound. |
| Grade C — Reclaimed / Budget | Functional pallets with visible wear, marks, or minor repairs. Suitable for storage or basic industrial use. |
The Customer must inspect Goods on Delivery and notify the Company in writing within 24 hours of any shortage or visible damage. Failure to do so shall constitute acceptance of the Goods as delivered. The Company's liability for defective Goods is limited to replacement or refund of the Price paid for those Goods.
Orders may be cancelled only with the written agreement of the Company. Where cancellation is agreed after an Order has been confirmed with a supplier, the Customer may be liable for any cancellation costs incurred. Pallets correctly supplied in accordance with the Order are not returnable except where agreed in writing by the Company.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any matter which cannot be excluded by law. Subject to this, the Company's total liability shall not exceed the Price paid for the relevant Order. The Company shall not be liable for any indirect, consequential, or special loss including loss of profit, loss of business, or damage to reputation.
The Company processes personal data in accordance with applicable UK data protection legislation (UK GDPR and Data Protection Act 2018) and our Privacy Policy. Personal data is used to process Orders and communicate with the Customer. Data will not be sold or shared with third parties except as necessary to fulfil an Order.
These Terms and Conditions are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales. If any provision is found invalid, the remaining provisions continue in full force. These Terms constitute the entire agreement between the parties in relation to the subject matter.
